Welcome to Clove Rewards, operated by Valinor Group Pty Ltd (ABN 44 680 884 824) ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of the Clove Rewards platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please refrain from using the Service.

1. Definitions

  • "Customer": An individual or entity using the Service to process card payments.
  • "Card Issuer": The financial institution (e.g., Visa, Mastercard, American Express) issuing the payment card used via the Service.
  • "Eligible Transaction": A payment successfully processed through the Service using a card, subject to the Card Issuer's reward program terms.
  • "Service": The payment processing platform provided by Clove Rewards.

2. Use of the Service

Clove Rewards provides a platform that allows Customers to process payments using credit or debit cards. We accept payments exclusively via card (Visa, Mastercard, American Express, or other supported providers). No other payment methods are supported.

The Service facilitates transactions between you and your Card Issuer. Any loyalty or reward points associated with Eligible Transactions are provided solely by your Card Issuer, not Clove Rewards. We do not offer, manage, or administer any reward points programs. Eligibility for rewards depends on your Card Issuer's policies, over which we have no control.

To use the Service, you must:

  • Be at least 18 years old and legally capable of entering into binding agreements.
  • Provide accurate and complete information during registration and payment processing.
  • Comply with all applicable laws and these Terms.

3. Payment Processing

We process card payments on your behalf through the Service. By using the Service, you authorize us to:

  • Charge your card for the amounts you specify.
  • Share necessary transaction details with your Card Issuer and payment networks.

All transactions are subject to approval by your Card Issuer. We are not responsible for declines, delays, or errors caused by your Card Issuer or third-party payment networks. Transaction amounts are in Australian dollars (AUD) unless otherwise stated.

4. Fees

Our fees for using the Service will be disclosed to you before you complete a transaction. By proceeding with a payment, you agree to pay the applicable fees, which will be charged to your card along with the transaction amount. Fees are non-refundable unless required by law.

5. Rewards and Loyalty Points

Clove Rewards does not provide loyalty points, cashback, or any other rewards. Any benefits tied to Eligible Transactions are determined and issued exclusively by your Card Issuer. For details on reward eligibility, point accrual, or redemption, please refer to your Card Issuer's terms and conditions.

6. Your Responsibilities

You agree to:

  • Ensure your card details are accurate and up to date.
  • Maintain the security of your account and payment information.
  • Notify us immediately at [email protected] if you suspect unauthorized use of your account or card.
  • Use the Service only for lawful purposes.

You must not:

  • Attempt to bypass security measures or interfere with the Service.
  • Use the Service to process payments for illegal goods, services, or activities.

7. Refunds and Disputes

Refunds are processed at our discretion and subject to the nature of the transaction. If you believe a payment was processed in error, contact us at [email protected] within 14 days of the transaction with supporting details. We will investigate and respond within a reasonable timeframe. Disputes involving rewards or points must be directed to your Card Issuer.

8. Privacy

We collect, use, and store your personal information in accordance with our Privacy Policy, available on our website. By using the Service, you consent to such handling of your data as outlined in the Privacy Policy.

9. Intellectual Property

All content, logos, and technology associated with the Service are owned by Valinor Group Pty Ltd or its licensors. You may not copy, modify, or distribute any part of the Service without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Clove Rewards is not liable for:

  • Losses arising from your misuse of the Service or reliance on third-party services (e.g., Card Issuers).
  • Interruptions, delays, or errors in the Service caused by factors beyond our reasonable control (e.g., internet outages, Card Issuer actions).
  • Indirect, consequential, or incidental damages, including lost profits or rewards.

Our total liability to you, if any, will not exceed the fees paid by you to us in the preceding 12 months.

11. Termination

We may suspend or terminate your access to the Service at our discretion, with or without notice, if:

  • You breach these Terms.
  • We suspect fraudulent or illegal activity.
  • We discontinue the Service or any part thereof.

You may stop using the Service at any time by ceasing to process payments through it.

12. Changes to These Terms

We may update these Terms from time to time. The latest version will be posted on our website with the updated "Last updated" date. Continued use of the Service after changes constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
